We grant you a limited, non-exclusive, non-transferable and revocable license to access and use the website for your personal or internal business purposes in accordance with these Terms. You may not reproduce, distribute, modify, create derivative works from, publicly display or otherwise exploit any part of the website without our prior written consent.

For client engagements, the ownership of deliverables such as source code, configuration files and documentation will be described in the applicable statement of work. Unless otherwise agreed in writing, we retain ownership of our pre-existing tools, templates and methodologies, and we grant you a license to use them as necessary to benefit from the services we deliver.

The website may allow you to submit information through contact forms or other features. Any content you submit, including inquiries, feedback and other materials, is referred to as User Content. You retain ownership of your User Content, but you grant us a non-exclusive, worldwide, royalty free license to use, store and process that content for the purpose of providing the services and responding to your inquiries.

You represent and warrant that you own or have the necessary rights to any User Content you submit, and that your submission does not violate the rights of any third party or any applicable law. We are not responsible for the accuracy, completeness or reliability of any User Content submitted by users of the website.

The fees for our services will be described in a separate statement of work or proposal. Unless otherwise agreed in writing, fees are due upon receipt of invoice, and payment may be made by the methods we designate.

Late payments may be subject to interest or suspension of services to the extent permitted by law and as described in the applicable statement of work. You are responsible for any taxes, duties or other governmental charges that apply to the services, except for taxes based on our net income.

We reserve the right to change our fees for future work upon reasonable notice. Any change in fees will apply prospectively and will not affect engagements already agreed in a signed statement of work.

You are responsible for providing accurate billing information and for keeping it current. If a payment is declined or reversed, we may suspend work on the engagement until the matter is resolved, and we may charge a reasonable fee to cover any costs we incur as a result of the failed payment.

Termination

We may terminate or suspend your access to the website immediately, without prior notice or liability, for any reason, including if we reasonably determine that you have breached these Terms. Upon termination, your right to use the website will cease immediately.

Termination of a services engagement will be governed by the terms of the applicable statement of work. The provisions of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability and indemnification, will survive any termination.

Upon termination of your account or your use of the website, you must cease all use of the website and any materials obtained from it. We are not obligated to retain data related to a terminated account, except where we are required to do so by law or by a written agreement with you.

Disclaimers

The website and the services are provided on an as is and as available basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the website will be uninterrupted, secure or error free, that defects will be corrected, or that the website or the servers that make it available are free of viruses or other harmful components. We do not warrant the accuracy, completeness or reliability of any content on the website.

The website may contain general information about our services that is provided for convenience only and is subject to change without notice. Reliance on any information contained on the website is at your own risk, and you should verify any details that are material to a decision before acting on them.

Limitation of Liability

To the fullest extent permitted by law, in no event will BFG PROPERTY MANAGEMENT, LLC, its officers, directors, employees, agents or licensors be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, loss of data or business interruption, arising out of or related to your use of, or inability to use, the website or the services.

Our total aggregate liability arising out of or related to these Terms or your use of the website will not exceed the greater of one hundred United States dollars or the amount you have paid us for services in the twelve months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the limitations above may not apply to you.

The limitations and exclusions in this section apply to the fullest extent permitted by law and will apply whether the claim is based in contract, tort, statute or any other legal theory, and regardless of whether we have been advised of the possibility of such damages.

Indemnification

You agree to defend, indemnify and hold harmless BFG PROPERTY MANAGEMENT, LLC and its officers, directors, employees, agents and licensors from and against any claims, liabilities, damages, losses, costs and expenses, including reasonable legal fees, arising out of or related to your use of the website, your violation of these Terms, your User Content, or your violation of any rights of a third party.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.

This indemnification obligation will survive the termination of these Terms and your use of the website. You agree not to settle any claim subject to indemnification without our prior written consent where the settlement would impose any obligation on us.

Governing Law

These Terms and any dispute arising out of or related to them will be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles.

The United Nations Convention on Contracts for the International Sale of Goods will not apply to these Terms. Any legal action or proceeding arising out of these Terms will be brought exclusively in the state or federal courts located in the State of Utah.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or of our right to enforce it later.

Dispute Resolution

We encourage you to contact us first to attempt to resolve any dispute informally before pursuing formal proceedings. If a dispute cannot be resolved informally, the parties agree to resolve it through binding arbitration in the State of Utah, unless applicable law provides otherwise.

You agree that any dispute resolution proceeding will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than arbitration, each party waives any right to a jury trial to the extent permitted by law.

Before initiating arbitration or litigation, each party agrees to provide the other with a written notice of the dispute and to attempt in good faith to resolve the matter through negotiation for a period of at least thirty days. Notices under this section should be sent to the contact details provided at the end of these Terms.

Changes to These Terms

We may revise these Terms of Service from time to time in our sole discretion. When we make material changes, we will update the effective date at the top of this page and, where appropriate, provide a more prominent notice.

Your continued use of the website after the revised Terms become effective constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the website and the services.

Material changes to these Terms will be highlighted where practical, and we will use reasonable efforts to notify registered users of significant changes through the contact information they have provided. The version of these Terms that applies to your use is the version in effect at the time you use the website.
